1. Agreement to Terms

By accessing or using any services, websites, or applications operated by 9rank.ai (“we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”). These Terms govern your access to and use of all 9rank.ai products, including 9Rank SEO, RAG9, Kernel9, and all related APIs, tools, and services (collectively, the “Service”).

Please read these Terms carefully. By using the Service, you also accept our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Subscription Policy, all incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

2. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email or a dashboard notice at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

3. The Services

9rank.ai provides the following primary services:

• 9Rank SEO: AI-powered SEO audits, keyword research, rank tracking, competitor analysis, content rating, copy checking, brand voice analysis, AI search readiness tools, and the 9RAI Engine multi-model orchestration layer.
• RAG9: An enterprise knowledge base indexing and enrichment platform that crawls, normalizes, and vectorizes data from your websites, e-commerce platforms, and third-party APIs into a RAG-ready knowledge base accessible via MCP and REST API.
• Kernel9: An AI-first customer support operating system featuring RAG-powered chatbots, human handoff, department routing, ticket management, SLA tracking, shift scheduling, global benchmarking, and embeddable chat widgets.
• Free Tools: A suite of free, publicly accessible SEO and research tools available at 9rank.ai/free-tools and other dedicated pages.

AI-Generated Content Disclaimer: All AI-generated outputs (audit reports, recommendations, content suggestions, chatbot responses) are provided for informational purposes only. They do not constitute professional legal, financial, or technical advice. You are solely responsible for actions taken based on AI outputs. We make no warranties as to accuracy, completeness, or fitness for any particular purpose.

4. User Accounts

To access most features, you must register an account. You agree to provide accurate, current, and complete information during registration and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. 5. Intellectual Property Rights

The Service, its software, AI models, methodologies, scoring algorithms, UI/UX, and all original content are owned by 9rank.ai and its licensors and are protected by international intellectual property laws.

Your Data: You retain ownership of data you provide (URLs, keywords, business content, chat logs from your Kernel9 widgets). By using the Service, you grant 9rank.ai a worldwide, non-exclusive, royalty-free license to process your data solely to provide and improve the Service. We will not share your identifiable data with third parties except as described in our Privacy Policy.

Your AI Outputs: Reports, enriched knowledge bases, and audit results generated for your account are your property. Any aggregated, anonymized insights may be used to improve our AI systems.

6. Subscription, Fees, and Payment

Access to paid features requires a valid subscription. Subscriptions are billed on a recurring monthly or annual basis. By subscribing, you authorize 9rank.ai to charge your payment method at the start of each billing cycle. Full billing terms are in our Subscription Policy.

Prices are listed in USD and are exclusive of applicable taxes. We accept major credit cards via Stripe. Failed payments may result in service suspension until resolved.

7. Free Plans and Free Tools

Certain products (e.g., RAG9 Free tier) and tools are available at no cost. Free tiers are subject to usage limits. We reserve the right to modify, restrict, or discontinue any free offering with reasonable notice. Free usage does not entitle you to service-level guarantees or dedicated support.

8. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy (AUP). Violations of the AUP constitute a material breach of these Terms and may result in immediate account suspension or termination without refund.

9. Third-Party Integrations and APIs

The Service integrates with third-party platforms (e.g., Shopify, WooCommerce, Google Search Console, OpenAI, Anthropic, Google Gemini). Such integrations are provided for your convenience. We are not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party integrations is subject to those parties' own terms of service.

10. MCP and Developer API Access

API and MCP (Model Context Protocol) access to the RAG9 is available on eligible plans. You must keep API keys confidential and are responsible for all usage under your credentials. Automated or excessive API usage that degrades service availability for other users may be throttled or suspended per our AUP.

11. Data Security and Privacy

We implement industry-standard security measures including encryption in transit (TLS 1.2+) and at rest. Detailed data handling practices are described in our Privacy Policy and Data Processing Agreement (DPA). For enterprise customers requiring a signed DPA, contact [email protected].

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. 9RANK.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

13. Limitation on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 9RANK.AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO 9RANK.AI IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

14. Indemnification

You agree to indemnify and hold harmless 9rank.ai, its affiliates, and their respective officers, directors, employees, contractors, and agents from any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of the Service; (c) your violation of any third-party right; or (d) your violation of applicable law.

15. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and deleting your account. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or engage in prohibited conduct. Upon termination, your right to use the Service ceases immediately. Provisions that by nature should survive (e.g., IP rights, limitation of liability, indemnification) will continue in effect.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Wyoming.

17. Dispute Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will make good-faith efforts to resolve the matter within 30 days.
