End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you and 9rank.ai for the use of the 9rank.ai software application, which includes the web-based platform, associated AI models, APIs, embeddable widgets, and any related documentation (collectively, the “Software”).

By accessing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, access, or use the Software.

1. Grant of License

Subject to your compliance with the terms of this EULA and our Terms of Service, 9rank.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Software for your internal business purposes during the term of your valid subscription.

2. License Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make the Software available to any third party.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of 9rank.ai or its affiliates, partners, suppliers, or the licensors of the Software.
• Use the Software for any purpose that is illegal or prohibited by this EULA or our Acceptable Use Policy.
• Use the Software to build a similar or competitive product or service.

3. Embedded Software & Kernel9 Widgets

Certain components of the Software are designed to be embedded on third-party websites (“Embedded Software”). This includes, but is not limited to:

• Kernel9 Chat Widget: An embeddable customer support widget that runs on your website, serving AI-powered and human-assisted conversations to your end-users.
• 9R Trust Badge: An embeddable badge widget that displays your site's 9R Authority Score.

When deploying Embedded Software, you agree to:

• Attribution: Not remove or alter 9rank.ai branding, “Powered by” labels, or copyright notices from the Embedded Software, unless you are on a plan that includes white-label customization.
• Privacy Compliance: Inform your website visitors that the Embedded Software may process their data (including conversation content, IP addresses, and browser information) in accordance with your own privacy policy and our Data Processing Agreement.
• Scope of Use: Deploy the Embedded Software only on domains you own or are authorized to operate. Deploying on unauthorized domains is a violation of this EULA.
• No Modification: Not modify, decompile, or tamper with the Embedded Software's source code, behavior, or data transmission.
• Data Responsibility: You remain the Data Controller for all end-user data collected through the Embedded Software. 9rank.ai acts as a Data Processor in accordance with the DPA.

4. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of 9rank.ai and its licensors. This EULA does not grant you any rights to trademarks or service marks of 9rank.ai. The Software is protected by U.S. Copyright Registration TXu 2-547-568.

5. User Data & AI Model Training

You retain all ownership rights to the data you submit to the Software (e.g., URLs for analysis, text for content tools, knowledge base data, conversation logs). We will use this data to provide the service to you. As detailed in our Privacy Policy and Terms of Service, you grant us a limited, worldwide, royalty-free license to use your data in an aggregated and anonymized form for the sole purpose of training and improving our AI models and services. We will never use your specific, identifiable data for training purposes without your explicit consent.

6. API & MCP Access

If your subscription includes API or MCP (Model Context Protocol) access to the RAG9 or other services:

• API keys and MCP credentials are confidential and must not be shared or exposed publicly.
• You are responsible for all usage under your API keys.
• Rate limits apply based on your subscription plan. Exceeding rate limits may result in temporary throttling.
• API access is subject to our Acceptable Use Policy.

7. Term and Termination

This EULA is effective from the date you first use the Software and shall continue for as long as you have a valid subscription. This EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, the license granted by this EULA will immediately terminate and you agree to stop all access and use of the Software, including removing all Embedded Software from your websites.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, 9RANK.AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 9RANK.AI OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, INCLUDING THE EMBEDDED SOFTWARE AND ANY DATA PROCESSED THROUGH IT.

10. Governing Law

This EULA and your use of the Software are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
